Board of Directors

The President shall preside at all meetings of the Board of Directors and shall perform such other duties as the Board may prescribe. In the absence of the President at any meeting of the Board, the Board shall select from among those Directors present one who shall act as chairman for that meeting. The President shall also preside at all meetings of the Members, shall have general and active management of the business of the Association, and shall see that all orders and resolutions of the Association and of the Board are carried into effect.

The Vice President shall, in the absence of or disability of the President, perform the duties and exercise the powers of the President, and shall perform such other duties as the Board of Directors shall prescribe.

The Secretary shall attend all meetings of the members and record votes and the minutes of all proceedings in a book to be kept for that purpose and shall perform like duties for any committees when required. He/She shall give, or cause to be given, notice of all meetings of the members and special meetings of the Board of Directors, and shall perform such other duties as may be prescribed by the Board of Directors or President, under whose supervision he/she shall be.

The Treasurer shall have responsibility for reporting to the Board of Directors the finances of the Woodridge HOA. He/She will regulary report at Board meetings and at the Annual Homeowners Meeting in January. Actual day to day management of funds and disbursements will be through the contracted HOA management company. That company will coordinate and report financials through the Treasurer. Documents requiring signature may be sign by the President and/or Treasurer.
